Applicable where ThemePhil itself acts as seller

1.1 In these terms of sale, the following definitions apply:
2.1 These terms of sale apply to every offer made by ThemePhil as seller and to every Agreement concluded between ThemePhil and the Buyer.
2.2 Where ThemePhil acts as seller, this is clearly indicated on the Platform. The use of the Platform as such is governed by the separate Platform Terms and Conditions ThemePhil. In the event of any conflict between the two sets of terms, these terms of sale prevail with regard to the purchase.
2.3 Before the Agreement is concluded, these terms of sale are provided to the Buyer electronically, in such a way that the Buyer can easily store them on a durable medium.
2.4 The applicability of any terms and conditions of the Buyer is expressly rejected, unless otherwise agreed in writing.
3.1 Each offer contains a correct and complete description of the Item offered, including its condition, any defects and — insofar as known — its authenticity and relevant catalogue reference. The description is sufficiently detailed to enable the Buyer to properly assess the offer.
3.2 Each offer includes at least one photograph and/or scan of the actual Item made by ThemePhil itself. The images give a true representation of the current condition of the Item.
3.3 Reproductions, forgeries or forged postmarks are explicitly identified as such in the title and description.
3.4 Obvious mistakes or obvious errors in the offer do not bind ThemePhil.
3.5 Each offer is valid while stocks last; each Item is in principle unique and can only be sold once.
4.1 The Agreement is concluded at the moment the Buyer accepts the offer and meets the conditions attached to it.
4.2 ThemePhil will confirm receipt of the acceptance of the offer without delay by electronic means (by e-mail). As long as this confirmation has not been sent, the Buyer may rescind the Agreement.
4.3 Within the limits of the law, ThemePhil may inform itself as to whether the Buyer is able to meet his payment obligations. If, on the basis of this assessment, ThemePhil has good reasons not to enter into the Agreement, ThemePhil is entitled to refuse an order or to attach special conditions to its performance, stating the reasons.
5.1 The prices stated on the Platform are in euros and include VAT, unless explicitly stated otherwise. Shipping costs are stated separately before the Agreement is concluded.
5.2 During the period of validity stated in the offer, the prices of the Items offered will not be increased, except for price changes resulting from changes in VAT rates.
5.3 Payment is made via the payment methods offered on the Platform. Unless otherwise agreed, payment must be made within 14 days of the conclusion of the Agreement.
5.4 If the Buyer fails to meet his payment obligation in time, ThemePhil will send a reminder and grant the Buyer a period of 14 days in which to pay. If payment is not made within this period, ThemePhil is entitled to charge statutory interest and the extrajudicial collection costs incurred, or to terminate the Agreement.
5.5 ThemePhil will not ship the Item until full payment has been received, unless otherwise agreed.
6.1 ThemePhil exercises the greatest possible care when accepting orders and when packaging and shipping Items.
6.2 The place of delivery is the address that the Buyer has made known to ThemePhil. The Buyer is responsible for providing correct address and contact details.
6.3 ThemePhil will ship accepted orders as quickly as possible, but no later than within 30 days of the conclusion of the Agreement and receipt of payment, unless a different delivery period has been agreed. If delivery is delayed, the Buyer will be notified as soon as possible. In that case, the Buyer has the right to terminate the Agreement free of charge; any amounts already paid will then be refunded within 14 days.
6.4 The risk of damage to and/or loss of Items rests with ThemePhil until the moment of delivery to the Buyer, unless explicitly agreed otherwise.
6.5 In the case of international shipping, the Buyer is responsible for any customs regulations, import duties and local legislation in the country of destination.
7.1 The Consumer may terminate the Agreement during a cooling-off period of 14 days without giving reasons. This cooling-off period commences on the day after the Consumer, or a third party designated in advance by the Consumer who is not the carrier, has received the Item.
7.2 During the cooling-off period, the Consumer will handle the Item and its packaging with care. The Consumer will only handle the Item to the extent necessary to establish its nature and characteristics. Given the fragile nature of philatelic material, this means, among other things, that stamps may not be removed from their protective packaging or stock card, may not be soaked off and may not be touched with bare hands. The Consumer is liable for any diminished value of the Item resulting from handling that goes beyond what is permitted in this paragraph.
7.3 The Consumer may exercise the right of withdrawal by notifying ThemePhil unambiguously within the cooling-off period, for example by e-mail to info@themephil.com or by means of the statutory model withdrawal form.
7.4 The Consumer will return the Item to ThemePhil within 14 days of the notification, properly packaged and — given the value of philatelic material, preferably — by registered mail. The direct costs of returning the Item are borne by the Consumer.
7.5 ThemePhil will refund all payments received from the Consumer, including the original shipping costs (with the exception of any additional costs for a more expensive shipping method than standard delivery), without delay and no later than within 14 days of the day on which the withdrawal was notified. ThemePhil may withhold the refund until the Item has been received back or the Consumer has demonstrated that the Item has been returned.
7.6 The right of withdrawal does not apply to Buyers acting in the course of a profession or business, nor to purchases concluded between Users among themselves on the Platform; those are governed by the Platform Terms and Conditions ThemePhil.
8.1 The Buyer is responsible for providing correct and complete information required for the performance of the Agreement.
8.2 The Buyer is obliged to inspect the delivered Item upon receipt for visible defects and deviations from the description, and to report these to ThemePhil as soon as possible.
8.3 The Buyer will behave respectfully in communications with ThemePhil and will refrain from deception or abuse of arrangements, including the right of withdrawal.
9.1 ThemePhil guarantees that the Items comply with the Agreement and with the specifications stated in the offer (conformity). The condition and authenticity description in the offer is decisive in this respect.
9.2 Authenticity opinions of third parties only bind ThemePhil if they originate from a recognised expertising or certification bureau. For valuable Items, ThemePhil advises requesting an official certificate of authenticity prior to purchase.
9.3 To the extent permitted by law, ThemePhil is not liable for indirect damage or loss of profit. In any event, ThemePhil's liability is limited to the amount of the purchase price of the Item concerned.
9.4 The limitations in this article do not apply insofar as the damage is the result of intent or deliberate recklessness on the part of ThemePhil, and do not affect the mandatory statutory rights of the Consumer.
10.1 ThemePhil is not obliged to fulfil any obligation if it is prevented from doing so by force majeure, including malfunctions, cyberattacks, failure of external services or disruptions at carriers. This list is non-exhaustive.
10.2 If a situation as referred to in Article 10.1 occurs, ThemePhil will inform the Buyer as soon as possible. If the force majeure situation continues for more than 30 days, both parties have the right to terminate the Agreement; any amounts already paid will in that case be refunded.
11.1 Complaints about the performance of the Agreement must be submitted to ThemePhil by the Buyer as soon as possible, fully and clearly described, via info@themephil.com.
11.2 A complaint must contain at least:
11.3 ThemePhil will send the Buyer a written confirmation within 14 days of receipt of the complaint. If a complaint is not taken up, the Buyer will be informed of this in writing no later than 5 days after the date of receipt. A complaint will be handled within 4 weeks of the date of receipt.
11.4 The Consumer may also submit a dispute via the statutory route for out-of-court dispute resolution, without prejudice to the right to submit the dispute to the competent court.
12.1 ThemePhil has the right to amend these terms of sale. Amendments will be announced in writing at least 30 days in advance via the Platform or by e-mail.
12.2 An Agreement already concluded remains subject to the terms as they applied at the time that Agreement was concluded.
13.1 These terms of sale and all Agreements are governed exclusively by Dutch law.
13.2 Disputes will be submitted to the competent court in the district in which ThemePhil has its registered office, unless mandatory law (including consumer protection rules) provides otherwise.
13.3 These terms of sale have been drawn up in the Dutch language and may be translated into other languages. In the event of any difference in interpretation or conflict between the Dutch text and a translation, the Dutch text shall prevail.
