Platform Terms and Conditions ThemePhil

Article 1 – Definitions

1.1 In these terms and conditions, the following definitions apply:

  • ThemePhil: the company ThemePhil, established in Sweikhuizen, operator of the Platform;
  • Platform: the website and related services of ThemePhil, accessible via ThemePhil.nl and ThemePhil.com;
  • User: any natural person or legal entity who has created an account and/or uses the Platform, whether or not as a buying or selling party;
  • Item: the philatelic object (such as a postage stamp or item of postal stationery) that is offered, bought, sold or exchanged via the Platform;
  • Listing: the offer of an Item placed on the Platform by a User;
  • Advertising: the placing of a Listing on the Platform;
  • Agreement: the purchase, sale or exchange agreement concluded between Users among themselves;
  • Catalogue: the thematic catalogue of postage stamps and postal stationery offered by ThemePhil, including the collection and want-list management functions.

Article 2 – Company details

2.1 The Platform ThemePhil.com is operated by:

Article 3 – Applicability of the terms and conditions

3.1 These terms and conditions apply to every use of the ThemePhil Platform and to all agreements concluded between ThemePhil and the User.

3.2 Before the Agreement is concluded, these terms and conditions of ThemePhil are provided to the User electronically. ThemePhil ensures that the User can easily store the terms and conditions on a durable medium.

3.3 The applicability of any terms and conditions of the User is expressly rejected by ThemePhil, unless otherwise agreed in writing between ThemePhil and the User.

Article 4 – The Platform and its purpose

4.1 ThemePhil is an international platform where collectors of philatelic material come into contact with each other to buy, sell or exchange objects.

4.2 ThemePhil is also a thematic catalogue of postage stamps and postal stationery.

4.3 ThemePhil is not an expertising bureau. The determination of authenticity and value rests entirely with the Users. For valuable Items, ThemePhil always advises requesting an official certificate of authenticity.

4.4 ThemePhil may also offer objects for sale on the Platform itself. Where ThemePhil acts as seller, this will be clearly identifiable and the statutory provisions on distance selling (such as the right of withdrawal) apply in full. Separate terms of sale apply to those sales. ThemePhil is never a party to transactions between other Users among themselves.

Article 5 – Account and the ability to advertise and buy

5.1 In order to advertise and buy an Item, the User first creates a digital account with ThemePhil.

5.2 Users must be at least 18 years of age. Users are personally responsible for their account and all activities that take place on it.

5.3 ThemePhil reserves the right to restrict or terminate accounts in the event of fraud or violation of the platform rules.

Article 6 – Platform fees and subscriptions

6.1 For the use of (specific parts of) the Platform, ThemePhil applies a subscription model or other usage fees.

6.2 ThemePhil reserves the right to adjust prices and rates. This may occur, among other things, on the basis of market developments, price increases or the introduction of new functionalities on the Platform.

6.3 Users will be informed of price changes in good time (at least 30 days in advance) via the Platform or by e-mail. If a User does not agree to a price increase, the User has the right to cancel the subscription with effect from the date on which the change takes effect.

Article 7 – The Listing

7.1 If a User wishes to place an Item on the ThemePhil Platform, the Listing must meet the following requirements:

  • Listings must contain a correct and complete description of the object, its condition, any defects and its purported authenticity;
  • the User must be the owner of the advertised Item;
  • the Item offered must not be of inferior quality according to generally accepted standards;
  • each Listing must include at least one self-made photograph and/or scan of the actual object;
  • it is strictly prohibited to use images originating from the internet, other websites or other users (so-called 'stock photos'). Photographs must be sharp and give a true representation of the current condition of the Item;
  • the Listing must not contain any discriminatory, racist, pornographic, political, insulting, threatening, inflammatory, aggressive, offensive and/or provocative texts or images;
  • the Listing must not contain any elements that are contrary to the law and/or public morals;
  • the Listing must not contain any language other than Dutch or English;
  • Listings containing the offered Item are without obligation.

7.2 ThemePhil merely facilitates the communication and the publication of a Listing.

7.3 ThemePhil reserves the right to remove content that is contrary to the platform rules or the law, in accordance with applicable EU legislation (Digital Services Act).

7.4 The order of search results is determined on the basis of relevance, date and completeness of the Listing. Paid promotions are clearly identified as such.

Article 8 – The Agreement between Users

8.1 If a User accepts the advertised offer and thereby acts as buyer, an Agreement is concluded between the selling User and the buying User.

8.2 If the selling User has good reasons not to enter into an Agreement with the buying User, the selling User may withdraw the offer.

8.3 ThemePhil is in no way part of the Agreement between Users.

Article 9 – Payment

9.1 The selling User is responsible for providing the correct instructions regarding payment for the sold Item.

9.2 The buying User is responsible for the timely payment for the Item to the selling User.

9.3 Transactions are concluded directly between the selling User and the buying User. ThemePhil acts as a technical facilitator and is not a party to transactions between Users.

9.4 Unless explicitly stated otherwise, ThemePhil does not offer its own buyer protection or guarantee fund. The buying User is advised to use secure payment methods.

Article 10 – Shipping

10.1 The selling User is responsible for a correct description, proper packaging and timely shipment of the sold objects.

10.2 The buying User is responsible for providing the correct address and contact details to the selling User. The address details serve as the place of delivery.

10.3 The selling User is responsible for shipping the Item to the buying User.

10.4 If reports are received about the non-delivery of sold Items, ThemePhil will contact the selling User for clarification.

10.5 In the event of suspected malicious intent, repeated complaints or failure to cooperate in finding a solution, ThemePhil reserves the right to permanently ban the selling User from the Platform and to report this to the relevant authorities.

Article 11 – Obligations of the Platform User

11.1 Users must behave respectfully. Prohibited activities include fraud, misleading listings, spam and the harassment of other users.

11.2 Users are themselves responsible for compliance with local legislation, including customs regulations, import duties and export restrictions.

11.3 Users report illegal content via the designated form on the ThemePhil website. ThemePhil will investigate such reports without delay and take appropriate measures where necessary.

Article 12 – Platform liability

12.1 ThemePhil cannot guarantee that the Listing and the Item offered therein will meet the expectations of the buying User.

12.2 The User indemnifies ThemePhil against all claims relating to damage caused by:

  • the use of the ThemePhil website;
  • entering into an Agreement on the basis of a Listing placed by the selling User;
  • payment between the selling User and the buying User;
  • shipment of an Item purchased via the ThemePhil Platform;
  • the use of an Item purchased via the ThemePhil Platform;
  • incorrect information provided by the selling User and/or the buying User to each other.

12.3 The User indemnifies ThemePhil against third-party claims related to content posted or transactions carried out by the User.

12.4 To the extent permitted by law, ThemePhil is not liable for indirect damage, loss of profit or damage arising from transactions between Users.

Article 13 – Force majeure

13.1 ThemePhil is not liable in the event of force majeure, including malfunctions, cyberattacks or failure of external services. This list is non-exhaustive.

13.2 If a situation as referred to in Article 13.1 occurs, ThemePhil will inform the User as soon as possible.

Article 14 – Protection of personal data

14.1 ThemePhil complies with all its obligations under the General Data Protection Regulation (hereinafter: GDPR) and applies the requirements regarding the processing of personal data as laid down in the law.

14.2 The manner in which ThemePhil processes personal data is set out in the ThemePhil privacy policy, available via https://ThemePhil.com.

Article 15 – Intellectual property

15.1 The software, database and catalogue structure are the intellectual property of ThemePhil. The automated scraping or copying of data is strictly prohibited.

Article 16 – Complaints procedure

16.1 Complaints about the ThemePhil Platform must be submitted to ThemePhil by the User as soon as possible. This can be done via: info@themephil.com.

16.2 The complaint must contain as detailed a description as possible, so that ThemePhil is able to respond adequately to the User's complaint.

16.3 A complaint must contain at least:

  • the name, address and place of residence of the User;
  • a description of the complaint;
  • the reasons for the complaint;
  • photographs, if applicable.

16.4 ThemePhil will send the User a written confirmation within 14 days of receipt of the complaint. If a complaint is not taken up, the User will be informed of this in writing no later than 5 days after the date of receipt. A complaint will be handled within 4 weeks of the date of receipt.

16.5 ThemePhil is expressly not a mediator, agent or representative of Users. This means that ThemePhil is not a legal party to disputes between Users among themselves.

Article 17 – Other provisions

17.1 ThemePhil offers an integrated catalogue function for the digital management of collections and want lists. By using this function, the User agrees that ThemePhil may use this anonymised information to support relevant platform functionalities (such as notifications in the event of matches).

17.2 ThemePhil may use aggregated data from collections and want lists for analysis and platform improvement. This data cannot be traced back to individual Users.

17.3 By uploading images, the User grants ThemePhil a worldwide, irrevocable and royalty-free licence to use this content for catalogue development, reference material and AI recognition systems within the Platform.

17.4 Reproductions, forgeries or forged postmarks must be explicitly identified as such in the title and description. Upon discovery of fraud, deliberate forgery or other illegal activities, the competent authorities will be contacted at all times. In such cases, the relevant personal data of the User concerned will be shared with these authorities without delay.

17.5 ThemePhil may operate a reputation system. Users are obliged to complete reviews truthfully. Manipulation thereof will lead to exclusion from the Platform.

17.6 ThemePhil uses monitoring systems to detect suspicious activities. In the event of suspected fraud, an account will be suspended immediately.

Article 18 – Amendment of the terms and conditions

18.1 ThemePhil has the right to amend its terms and conditions. Amendments will be announced in writing at least 30 days in advance.

18.2 If the User does not agree to an amendment, the User has the right to cancel the account and/or subscription with effect from the date on which the amendment takes effect. The most recent version of the terms and conditions is always available on the website.

Article 19 – Applicable law and disputes

19.1 These terms and conditions are governed exclusively by Dutch law.

19.2 Disputes will be submitted to the competent court in the district in which ThemePhil has its registered office, unless mandatory law provides otherwise.

19.3 These terms and conditions have been drawn up in the Dutch language and may be translated into other languages. In the event of any difference in interpretation or conflict between the Dutch text and a translation, the Dutch text shall prevail.
